Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between the governmental agency, political subdivision, or authorized organization ("Agency," "you," or "your") and Command Bridge, LLC ("Command Bridge," "we," "us," or "our") governing your access to and use of the Command Bridge platform, including all associated software, services, APIs, and documentation (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an Agency, you represent and warrant that you have the authority to bind that Agency to these Terms.
1. Acceptance of Terms
By creating an account, executing an Order Form, or otherwise accessing the Service, you agree to these Terms, our Privacy Policy, and any applicable Order Form or Statement of Work (collectively, the "Agreement"). In the event of a conflict between these Terms and an executed Order Form, the Order Form shall control to the extent of the conflict.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to refuse service to any prospective or existing customer at our sole discretion.
2. Description of Service
Command Bridge is a cloud-based, multi-tenant emergency operations platform designed for government agencies. The Service provides capabilities including, but not limited to:
- Incident management and emergency operations coordination
- Field operations tracking and resource deployment
- Public communication and alert management
- FEMA recovery tracking and grant management
- Damage assessment and situation reporting
- Role-based access control and multi-agency coordination
- Audit logging and compliance reporting
- Public-facing portals for citizen engagement
The specific modules and features available to your Agency are determined by your subscription tier as set forth in your Order Form. Command Bridge reserves the right to update, modify, or enhance the Service at any time, provided that such changes do not materially diminish the core functionality included in your subscription during an active term.
3. Account Registration and Security
3.1 Account Creation
To access the Service, your Agency must designate at least one authorized administrator who will be responsible for creating and managing user accounts. You agree to provide accurate, current, and complete information during registration and to keep such information updated.
3.2 Account Security
You are responsible for maintaining the confidentiality of all account credentials and for all activities that occur under your Agency's accounts. You agree to:
- Implement and enforce strong password policies consistent with your Agency's security requirements
- Enable multi-factor authentication where available and required by your security policies
- Promptly notify Command Bridge of any unauthorized access or suspected security breach
- Regularly review and audit user access, deactivating accounts that are no longer authorized
3.3 User Management
Your Agency is responsible for managing user roles and permissions within the platform. Command Bridge provides role-based access control tools, but the configuration and assignment of roles and permissions is your responsibility. Command Bridge is not liable for unauthorized access resulting from misconfigured permissions or failure to deactivate user accounts.
4. Authorized Use
4.1 Permitted Use
The Service is licensed exclusively for use by government agencies, political subdivisions, tribal nations, special districts, and other authorized public-sector entities, as well as authorized contractors and partners operating under the direction of such entities. You may use the Service solely for legitimate governmental and emergency management purposes, including emergency operations, public safety, disaster recovery, and related administrative functions.
4.2 Prohibited Use
You agree not to:
- Use the Service for any purpose other than authorized governmental operations
- Sublicense, resell, or distribute access to the Service to unauthorized third parties
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Circumvent or attempt to circumvent any security controls, access restrictions, or tenant isolation mechanisms
- Introduce malicious code, attempt unauthorized access to other tenants' data, or interfere with the Service's operation
- Use the Service in any manner that violates applicable federal, state, or local laws or regulations
- Remove, obscure, or alter any proprietary notices, labels, or marks on the Service
5. Data Ownership
5.1 Agency Data
Your Agency retains all right, title, and interest in and to all data, content, records, and information that you or your authorized users input, upload, or generate through the Service ("Agency Data"). Command Bridge does not acquire any ownership interest in Agency Data by virtue of this Agreement.
5.2 License to Agency Data
You grant Command Bridge a limited, non-exclusive, non-transferable license to access, use, process, and display Agency Data solely to the extent necessary to provide, maintain, and improve the Service, and to comply with applicable law. This license terminates upon expiration or termination of the Agreement.
5.3 Aggregated and De-identified Data
Command Bridge may generate aggregated, anonymized, and de-identified statistical data derived from the use of the Service ("Aggregated Data"). Aggregated Data will not identify your Agency or any individual and may be used by Command Bridge for product improvement, benchmarking, and research purposes. Your Agency has no ownership interest in Aggregated Data.
6. Subscription and Payment
6.1 Subscription Terms
Access to the Service is provided on an annual subscription basis as specified in your Order Form. Subscription pricing is based on your jurisdiction's population tier, not per-user counts, enabling unlimited authorized users within your Agency. The specific subscription tier, pricing, and any applicable add-ons are set forth in your Order Form.
6.2 Payment
Fees are invoiced annually in advance unless otherwise specified in your Order Form. Payment is due within thirty (30) days of invoice date, or as otherwise required by applicable government procurement regulations. All fees are quoted in U.S. dollars. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law.
6.3 Taxes and Exemptions
Fees are exclusive of taxes unless otherwise stated. Government agencies that are exempt from sales, use, or similar taxes shall provide a valid exemption certificate upon request. Command Bridge will not charge applicable taxes to agencies that provide valid exemption documentation.
6.4 Renewal
Unless otherwise specified in your Order Form, subscriptions will automatically renew for successive one-year terms at the then-current pricing. Either party may elect not to renew by providing written notice at least sixty (60) days prior to the end of the current term. Renewal pricing adjustments, if any, will be communicated at least ninety (90) days prior to renewal.
7. Service Level and Availability
7.1 Uptime Commitment
Command Bridge will use commercially reasonable efforts to maintain Service availability of 99.9% uptime, measured monthly, excluding scheduled maintenance windows. Specific service level commitments and remedies, including service credits for downtime, are defined in the Service Level Agreement ("SLA") provided with your Order Form.
7.2 Scheduled Maintenance
Command Bridge will provide at least forty-eight (48) hours' advance notice for planned maintenance that may affect Service availability. Whenever practicable, scheduled maintenance will be performed during off-peak hours. Emergency maintenance required to address critical security vulnerabilities or system integrity issues may be performed without advance notice.
7.3 Support
Command Bridge provides technical support in accordance with the support tier specified in your Order Form. Support channels, response times, and escalation procedures are detailed in the applicable support documentation. During declared emergencies, elevated support response may be available as specified in your Order Form.
8. Intellectual Property
8.1 Command Bridge IP
The Service, including all software, architecture, designs, algorithms, workflows, documentation, user interfaces, and related intellectual property, is and remains the exclusive property of Command Bridge and its licensors. These Terms grant you no right, title, or interest in the Service except the limited right to use the Service in accordance with this Agreement.
8.2 Feedback
If you provide suggestions, feature requests, enhancement ideas, or other feedback regarding the Service ("Feedback"), you grant Command Bridge a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service without obligation or compensation to you.
8.3 Trademarks
"Command Bridge" and associated logos, marks, and product names are trademarks of Command Bridge, LLC. Nothing in these Terms grants you the right to use Command Bridge's trademarks without prior written consent. With your permission, Command Bridge may identify your Agency as a customer in marketing materials.
9. Confidentiality
9.1 Confidential Information
"Confidential Information" means any non-public information disclosed by either party to the other in connection with this Agreement, including but not limited to technical specifications, business processes, security configurations, pricing terms, Agency Data, and any information marked as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.
9.2 Obligations
Each party agrees to: (a) protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care; (b) use Confidential Information only for the purposes of this Agreement; and (c) not disclose Confidential Information to third parties except to employees, contractors, and agents who have a need to know and are bound by confidentiality obligations no less restrictive than those set forth herein.
9.3 Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of or reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided that the receiving party gives the disclosing party prompt notice and reasonable assistance to seek a protective order when legally permitted. The parties acknowledge that Agency information may be subject to public records or freedom of information laws, and nothing in this section shall be construed to override such statutory obligations.
10. Limitation of Liability
10.1 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Cap on Liability
EXCEPT FOR OBLIGATIONS ARISING UNDER SECTIONS 5 (DATA OWNERSHIP), 9 (CONFIDENTIALITY), AND 11 (INDEMNIFICATION), EACH PARTY'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY THE AGENCY TO COMMAND BRIDGE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10.3 Essential Purpose
The limitations set forth in this section shall apply even if any limited remedy specified in this Agreement is found to have failed of its essential purpose. Nothing in these Terms shall limit liability for fraud, willful misconduct, or gross negligence, or to the extent such limitation is prohibited by applicable law.
11. Indemnification
11.1 By Command Bridge
Command Bridge shall defend, indemnify, and hold harmless your Agency and its officers, employees, and agents from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) allegations that the Service infringes any U.S. patent, copyright, or trade secret; or (b) Command Bridge's gross negligence or willful misconduct in performing its obligations under this Agreement.
11.2 By Agency
To the extent permitted by applicable law (including sovereign immunity), your Agency shall defend, indemnify, and hold harmless Command Bridge from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your Agency's use of the Service in violation of these Terms or applicable law; (b) Agency Data that infringes third-party rights; or (c) your Agency's negligence or willful misconduct.
11.3 Infringement Remedies
If the Service becomes, or in Command Bridge's reasonable opinion is likely to become, the subject of an infringement claim, Command Bridge may, at its option and expense: (a) procure for you the right to continue using the Service; (b) modify the Service to make it non-infringing; or (c) if neither (a) nor (b) is commercially practicable, terminate the affected portion of the Service and refund any prepaid fees for the unused portion of the subscription term.
12. Term and Termination
12.1 Term
These Terms are effective as of the date you first access the Service and continue for the duration specified in your Order Form. The subscription term and renewal provisions are as set forth in Section 6.4.
12.2 Termination for Cause
Either party may terminate this Agreement upon written notice if: (a) the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receiving written notice of the breach; or (b) the other party becomes insolvent, files for bankruptcy, or ceases to operate in the ordinary course.
12.3 Termination for Convenience
Your Agency may terminate this Agreement for convenience upon sixty (60) days' written notice. Termination for convenience does not entitle the Agency to a refund of prepaid fees unless otherwise specified in the Order Form or required by applicable procurement law.
12.4 Data Export and Transition
Upon termination or expiration of this Agreement, Command Bridge will make Agency Data available for export in a standard, machine-readable format for a period of ninety (90) days. Command Bridge will provide reasonable assistance to facilitate data migration at its then-current professional services rates. After the ninety (90) day export period, Command Bridge will delete all Agency Data from its systems in accordance with its data retention and destruction policies, and will provide written certification of deletion upon request.
12.5 Survival
Sections 5 (Data Ownership), 8 (Intellectual Property), 9 (Confidentiality), 10 (Limitation of Liability), 11 (Indemnification), and 16 (Governing Law) shall survive any expiration or termination of this Agreement.
13. Data Protection and Security
13.1 Security Measures
Command Bridge implements and maintains administrative, technical, and physical safeguards designed to protect Agency Data, including:
- Encryption of data in transit (TLS 1.2+) and at rest (AES-256)
- Database-level tenant isolation using Row-Level Security policies
- Immutable audit logging of all system activities
- Role-based access control with granular permissions
- Regular security assessments and vulnerability scanning
- Incident response and breach notification procedures
13.2 Data Residency
Agency Data is stored and processed within the United States. Command Bridge will not transfer Agency Data outside the United States without the Agency's prior written consent. Specific hosting regions and data center locations are available upon request.
13.3 Breach Notification
In the event of a confirmed security breach affecting Agency Data, Command Bridge will notify the Agency without unreasonable delay and in no event later than seventy-two (72) hours after confirmation of the breach. Notification will include the nature of the breach, the data affected, the measures taken or proposed to address the breach, and recommendations for mitigating potential harm.
13.4 Compliance
Command Bridge maintains a security architecture aligned with CJIS Security Policy requirements and applicable federal and state data protection standards. Details of our security program, certifications, and compliance documentation are available under NDA upon request. Command Bridge will cooperate with reasonable audit and assessment requests from the Agency related to data security and compliance, subject to reasonable advance notice and scope limitations.
14. Third-Party Services
The Service may integrate with or rely upon third-party services, including infrastructure providers, authentication services, mapping and geospatial providers, communication gateways, and AI/ML services. Command Bridge selects and manages third-party providers in accordance with its security and privacy standards, and maintains appropriate contractual safeguards with such providers.
Command Bridge is not responsible for the availability, accuracy, or performance of third-party services, except to the extent such services are integrated into and delivered as part of the core Service. A current list of material sub-processors is available upon request.
15. Modifications to Terms
Command Bridge may update these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. We will provide at least thirty (30) days' advance notice of material changes via email to the Agency's designated administrator and through a notice posted within the Service.
Material changes will not apply retroactively and will become effective on the date specified in the notice. Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you may terminate this Agreement in accordance with Section 12.
16. Governing Law
16.1 Applicable Law
This Agreement shall be governed by and construed in accordance with the laws of the State specified in the Order Form, without regard to conflict of law principles. If no governing state is specified in the Order Form, this Agreement shall be governed by the laws of the state in which the Agency is located.
16.2 Dispute Resolution
The parties agree to attempt to resolve any dispute arising under this Agreement through good-faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through mediation or, if mediation is unsuccessful, through litigation in the courts of competent jurisdiction in the governing state. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief to protect its rights.
16.3 Government Terms
Command Bridge acknowledges that Agency procurement may be subject to specific statutory and regulatory requirements. To the extent any provision of these Terms conflicts with mandatory applicable government procurement law, the applicable law shall control. Command Bridge will work in good faith to incorporate required government contract clauses into the applicable Order Form.
17. General Provisions
Entire Agreement. This Agreement, together with any executed Order Form and referenced policies, constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, representations, and understandings relating to the subject matter hereof.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Waiver. The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce such provision in the future.
Assignment. Neither party may assign this Agreement without the prior written consent of the other party, except that Command Bridge may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets, provided that the assignee agrees to be bound by these Terms.
Force Majeure. Neither party shall be liable for delays or failure to perform due to causes beyond its reasonable control, including natural disasters, acts of government, pandemics, civil unrest, or failures of third-party infrastructure, provided the affected party gives prompt notice and uses reasonable efforts to mitigate the impact.
Notices. All notices under this Agreement shall be in writing and sent to the addresses specified in the Order Form. Notices may be delivered by email, certified mail, or nationally recognized overnight courier. Notices are effective upon receipt.
